Terms and conditions

Last updated: 27 September 2026

The rules of the game between your establishment and us: what the subscription includes, how it is billed, what happens to your data, and who is responsible for what.

This is a translation provided for convenience. The French version is the only legally binding text; in case of discrepancy, it prevails.

1. Purpose

These general terms govern the subscription to, and use of, the SoftOrderGlobal platform. They are entered into between NEXT GEN CONSULTING, a single-member limited liability company (SARLU) with capital of 1 000 000 F CFA, RCCM CI-ABJ-03-2022-B13-04523, which publishes and operates the platform (“we”, “us”), and the company that subscribes to it for one or more establishments (“the Establishment”, “you”).

They apply as soon as your account is activated or a purchase order is signed. A specific contract or a signed quote may supplement them; in the event of a conflict, the specific document prevails on the point it covers.

2. Definitions

  • Platform: the SoftOrderGlobal software accessible online at app.softorderglobal.com and on the Establishment's registered devices.
  • Site: a business address (restaurant, bar, hotel) of the Establishment. The subscription is counted per Site.
  • Users: the people to whom the Establishment grants access (administrators, staff).
  • Hub: the local server installed at a Site to keep service and printing running without internet.
  • Options: services that can be activated in addition to the plan (for example the smart assistant, delivery, payment API).

3. The service

For each subscribed Site, the subscription gives access to the modules of the chosen plan as described on the Pricing page or in your quote, as well as to the Options you have activated. It includes hosting, updates, maintenance and the support described on the Support page.

Hardware (tablets, printers, the Hub computer, internet connection) remains the Establishment's responsibility, except where a hardware pack is expressly included by the offer or the quote.

4. Accounts and access

The Establishment appoints at least one administrator, who creates access for its Users and assigns them rights. Logins, passwords and PIN codes are personal and confidential: the Establishment is responsible for their use and must notify us without delay if it suspects fraudulent use.

5. Term and termination

  • Monthly subscription: no minimum term. It renews every month and can be cancelled at any time, in writing; cancellation takes effect at the end of the current month.
  • Annual subscription: entered into for twelve months, renewable. It can be cancelled in writing at least thirty days before the anniversary date.
  • We may terminate the subscription with thirty days' notice, or without notice in the event of a serious breach by the Establishment that is not remedied within fifteen days of a formal notice (in particular unlawful use of the platform).

Any termination request should be sent to contact@softorderglobal.com.

6. Price

Prices are expressed in CFA francs, per Site and per month, as shown on the Pricing page on the subscription date or set by your quote. Options are added to the plan's price when they are activated.

We may change our prices. Any increase is announced to you at least thirty days before it applies; if you refuse it, you may cancel free of charge before it takes effect. For an annual subscription, the price is guaranteed until the anniversary date.

7. Billing and payment

  • The invoice is issued at the start of each month for the month just ended. It counts every Site active during the period, and the Options activated.
  • The annual subscription is billed once a year, on the anniversary date.
  • Invoices are payable on receipt, by Mobile Money, by the payment link attached to the invoice, or by bank transfer.

8. Late payment

If an invoice is unpaid, we send you reminders. If the invoice remains unpaid after these reminders and a grace period of at least seven days, we may suspend access to the platform. During the suspension, your data is kept intact, and access is restored as soon as payment is received.

A suspension of more than sixty days for non-payment may lead to the termination of the subscription, under the conditions set out in the “Your data” article.

9. Payments from the Establishment's customers

When the Establishment takes payments from its customers online or by Mobile Money through the platform, the payment is processed by the payment provider it has chosen (for example Kkiapay, CinetPay, Wave or Orange Money), under the contract that binds them. We are not a payment institution: we transmit payment requests and display their status, without holding the funds.

Likewise, the platform helps the Establishment issue its standardised electronic invoices (FNE) in Côte d'Ivoire, but the Establishment remains solely responsible for its fiscal and accounting obligations, and for the accuracy of the prices, taxes and information it enters.

10. Your commitments

  • Use the platform in accordance with the law and its purpose, and do not attempt to bypass its security or access another establishment's data.
  • Enter accurate information (menu, prices, taxes, stock, rooms) and keep it up to date.
  • Inform your customers and your staff about the processing of their data, for which you are responsible (see the privacy policy).
  • Have the necessary hardware and connection, and pay invoices when due.

11. Our commitments

  • Make the platform available to you and maintain it, with the care of a professional. This is a best-efforts obligation (obligation de moyens).
  • Make our best efforts to ensure the service's availability, and announce planned maintenance in advance when it may disrupt operations. The Hub allows service and printing to continue during an internet outage. A specific, figured availability commitment only exists if it appears in your specific contract.
  • Protect your data and only use it to provide you with the service.
  • Assist you through the channels described on the Support page.

12. Your data

The Establishment remains the owner of its data: menu, orders, sales, stock, stays, customers. We process it on its behalf, as described in the privacy policy.

At the end of the subscription, you can request an export of your data for thirty days. After that period, it is deleted, except for what the law requires us to keep.

13. Intellectual property

The platform, its code, its trademark and its content remain the property of NEXT GEN CONSULTING. The subscription grants you a personal, non-exclusive and non-transferable right of use, for the duration of the subscription and for the needs of your Sites. It is prohibited to copy, resell, decompile or make the platform available to third parties.

14. Liability

We are only liable for direct damage caused by a proven breach of our obligations. We are not liable for indirect damage (loss of revenue, customers or reputation), nor for the consequences of an internet or electricity outage at the Establishment, a failure by a payment or messaging provider, or an error in the information entered by the Establishment.

Our total liability, for all damage combined, is limited to the sums paid by the Establishment for the subscription during the twelve months preceding the event giving rise to the claim.

15. Force majeure

Neither party is liable for a failure caused by an event of force majeure within the meaning of the applicable law. If the event lasts more than thirty days, either party may terminate the subscription without compensation.

16. Changes

We may amend these terms to reflect changes to the service or the law. Any significant change is notified to you at least thirty days before its entry into force; if you refuse it, you may cancel free of charge before that date.

17. Applicable law and disputes

These terms are governed by Ivorian law and the OHADA Uniform Acts. In the event of a dispute, the parties will first seek an amicable solution for thirty days from the written complaint. Failing that, the dispute is brought before the Commercial Court of Abidjan.
